This document outlines the Terms and Conditions of the agreement between you (the “Doctor” or “Registered Medical Practitioner”) and SugarSight from Vishvasys Technologies Pvt. Ltd. (“SugarSight” or “VTPL”) for the use of the SugarSight mobile application and its associated services. By accessing, registering for, and using the SugarSight platform as a Doctor, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. 

1. Services Provided by SugarSight
SugarSight provides a platform that facilitates the following services for you to engage with
patients:
• Teleconsultation: A secure, end-to-end encrypted video conferencing service for
consultations with patients.
• Patient Management: A dashboard to view and manage patient data, including
glucose readings, log entries, and uploaded medical reports, subject to patient consent.
• E-Prescription & Documentation: Tools to generate digital prescriptions, medical
notes, and suggestions.
• Scheduling: An appointment booking system for patients to schedule consultations
based on your provided availability.

2. Doctor’s Responsibilities
As a Doctor on the SugarSight platform, you agree to:
• Hold and maintain a valid medical license and registration with the relevant medical
council in India.
• Doctor to provide VTPL the medical license number, degree certifications and other
relevant professional qualifications.
• Provide accurate and up-to-date information regarding your qualifications,
specialization, and professional background.
• Adhere to all applicable laws, regulations, and ethical guidelines, including the
Telemedicine Practice Guidelines, 2020 issued by the Government of India.
• Ensure the highest standards of professional conduct and exercise due diligence and
professional judgment in all consultations and medical advice provided.
• Maintain strict patient confidentiality and protect sensitive personal data in accordance
with the Digital Personal Data Protection Act, 2023 (DPDP Act) and our Privacy
Policy.
• Not prescribe medications from the prohibited list as per the Telemedicine Practice
Guidelines

3. Financial Terms and Payment Agreement 

This section details the financial arrangements and payment structure for services rendered
through the SugarSight platform.
• Appointment Fee: The fee for each consultation is determined by you and is displayed
to the patient on the app. The range of the fee can be 100-1000 per appointment.
• Revenue Share: SugarSight will collect the full appointment fee from the patient on
your behalf. As a consideration for providing the platform, technology, and patient
base, SugarSight will retain a portion of this fee.
• Payment to Doctor: You shall receive 80% (eighty percent) of the gross appointment
fee. The remaining 20% (twenty percent) shall be the service fee retained by
SugarSight.
• Deductions: The following statutory deductions will be made from the gross
appointment fee before payment is disbursed to you:
o Goods and Services Tax (GST): SugarSight is responsible for remitting GST
to the government. We will deduct 18% GST on our 20% service fee.
o Tax Deducted at Source (TDS): We will deduct TDS as per the applicable
Indian Income Tax laws on the gross appointment fee. A TDS certificate will
be issued to you as per the legal requirements.
• Payment Schedule: Payouts will be processed on a monthly basis, covering all
completed consultations within the preceding monthly period. Payments will be
disbursed to the bank account you have provided in your profile. 

4. Cancellation policy: 

The doctor may choose to cancel a pre-booked appointment in the app. However, depending
on the time before cancellation

5. Patient Data and Privacy

You acknowledge that patient data is confidential and sensitive. You must handle all patient
information in accordance with our Privacy Policy. SugarSight will provide you with access to
patient data only with the explicit consent of the patient.

6. Disclaimer of Liability

SugarSight acts solely as a platform to connect you with patients. We are not a healthcare
provider, and we do not provide medical services. You are solely responsible for all medical
advice, prescriptions, and services you provide to patients through the app. SugarSight shall
not be held liable for any professional misconduct, negligence, or any claims arising from your
professional services. 

This agreement may be terminated by either party with a weeks written notice. SugarSight
reserves the right to suspend or terminate your access immediately, without notice, in the event
of any breach of these Terms and Conditions.

7. Governing Law and Dispute Resolution

This agreement shall be governed by the laws of India. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka. I hereby declare that I have read the terms and conditions mentioned above and agree to adhere to said terms and conditions.
